Terms and Conditions

INTRODUCTION

These Terms and Conditions ("Terms") govern your access to and use of the platform and IT services provided by Notary Nepal Services Pvt. Ltd. ("NotaryNP.com," "we," or "us"), a notary services and management platform registered under the laws of Nepal. By accessing or using our services, you agree to be bound by these Terms with full consent.

LEGAL STATUS AND COMPLIANCE

THIS PLATFORM OPERATES IN STRICT COMPLIANCE WITH THE NOTARY PUBLIC ACT, 2063 (2006) AND NOTARY PUBLIC REGULATIONS, 2064 (2007) OF NEPAL

This platform serves solely as a technological interface to facilitate connections between licensed notary publics and individuals seeking notary services, in accordance with provisions of the Notary Public Act, 2063 (2006). Our purpose is to enable access to notary services through technology without engaging in advertising or marketing prohibited under Nepali law.

DEFINITIONS

"Platform" refers to the website, web pages, applications, designed and developed by Notary Nepal Services for use of notary publics and clients in need.

"User" refers to any individual or entity accessing or using the Platform, including notary publics and clients.

"Notary Public" refers to individuals duly licensed and appointed as notary publics under the Notary Public Act, 2063 (2006) and authorized by the Government of Nepal.

"Client" refers to individuals or entities seeking notary services through the Platform.

"Notary Services" refers to authentication, attestation, certification, and other services provided by licensed notary publics as per the Notary Public Act, 2063 (2006).

ELIGIBILITY AND REGISTRATION

For Notary Publics:

  • Only notary publics duly licensed and appointed under the Notary Public Act, 2063 (2006) may register on the Platform.
  • Notary publics must provide valid appointment credentials and maintain good standing throughout their use of the Platform.
  • Notary publics must adhere to all provisions of the Notary Public Act, 2063 (2006) and Notary Public Regulations, 2064 (2007).
  • Notary publics acknowledge that their participation on this Platform does not constitute advertising or solicitation as prohibited by applicable regulations.

For Clients:

  • Clients must be at least 18 years old or have proper legal guardian consent to use the Platform, in accordance with the Nepal Civil Code, 2074 (2017).
  • Clients must provide accurate and truthful information when registering and using the Platform.
  • Clients acknowledge that their relationship with any notary public is governed by the Contract Act, 2056 (2000) and applicable provisions of the Civil Code, 2074 (2017).
  • Client's consent and identity verification is the duty of the notary publics, not Notary Nepal Services.

GENERAL TERMS & CONDITIONS

  1. Service Limitation: NotaryNP.com is in no way, directly or indirectly responsible for the notary services provided by the Notary Publics. We are an independent third-party enabler who have built a platform where clients can communicate with, and if needed, meet Notary Publics. NotaryNP.com has no control over the services provided by the Notary Public and will not be responsible for any issues/discrepancies with the services provided.

  2. Content Publication Rights: NotaryNP.com has full rights to publish general information about notary procedures and requirements on the portal and in any external communication for public knowledge sharing, in accordance with the Copyright Act, 2059 (2002). However, specific client details and notarized documents will remain confidential, in compliance with The Privacy Act, 2075 (2018) Section-11.

  3. Multiple Service Providers: NotaryNP.com has multiple Notary Publics for the same service areas, and there might be instances wherein similar services have different processing times or requirements. NotaryNP.com takes no liability towards these different approaches and encourages you to clarify requirements with your chosen Notary Public.

  4. Information Accuracy: All materials and information on the Site are provided for informational purposes only and may not reflect current legal developments or changes in notary regulations. The materials and information do not necessarily reflect the opinions of the Notary Publics, their affiliates, or partners. The information is not guaranteed to be correct, complete, or up to date.

  5. Service Relationship: The mere receipt of an email from or a "post" on the Site does not create a formal notary-client relationship. The applicable Notary Public is solely responsible for providing services to you, and you agree that NotaryNP.com shall not be liable for any damages or costs arising out of or connected with your use of such services.

SERVICES

  • The Platform facilitates connections between licensed notary publics and potential clients without engaging in advertising or marketing of notary services.
  • We do not guarantee the availability, quality, or outcome of notary services provided by notary publics through the Platform.
  • Any fees charged by notary publics must comply with the fee structure prescribed under the Notary Public Regulations, 2064 (2007).
  • All communications between notary publics and clients through the Platform shall remain confidential in accordance with applicable laws and professional standards.

HOW DOES IT WORK?

If you choose to submit a Free Inquiry on NotaryNP.com, you will not be charged any fees; however, Free Inquiries may be delayed before processing. Any responses you receive from Notary Publics to Free Inquiries will be for informational purposes only and will be publicly displayed and viewable by all Users (with personal details removed). You cannot choose the Notary Public that will answer the Free Inquiry – this is decided by the system automatically. The Notary Public may choose NOT to answer your inquiry with or without assigning a reason. You will be informed in such cases via email, SMS, and/or phone.

IMPORTANT: Though listing on NotaryNP.com may increase the exposure and accessibility of a Notary Public, we are not an advertising portal where professionals are listed based on fees paid. Our search and sort functionality are purely driven by user-entered information and the built-in algorithm, in compliance with applicable regulations.

WE DO NOT IN ANY WAY ENDORSE ANY INDIVIDUAL DESCRIBED HEREIN. IN NO EVENT SHALL WE BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN BY YOU IN RELIANCE ON SUCH INFORMATION.

INDEPENDENCE OF NOTARY PUBLICS

The opinions, statements, and services provided by Notary Publics via NotaryNP.com are solely the individual and independent actions of such professionals and do not reflect the opinions of NotaryNP.com, its affiliates, or any organizations to which such Notary Public is affiliated. NotaryNP.com does not recommend or endorse any specific procedures, Notary Publics, or other information mentioned on NotaryNP.com.

You agree that you understand that the Notary Publics who participate in NotaryNP.com are not employed by or agents of NotaryNP.com. Although NotaryNP.com requires Notary Publics to provide basic information about themselves (for example, information about their appointment and areas in which they provide services), NotaryNP.com does not separately verify this information and makes no representations as to the qualifications of any Notary Publics.

Notary Publics do not provide any compensation or payment to NotaryNP.com to become part of NotaryNP.com or to answer inquiries.

No representation is made that the quality of notary services to be performed is greater than the quality of services performed by other Notary Publics. We urge all potential clients to make their own independent investigation and evaluation of any Notary Public being considered.

PROHIBITED ACTIVITIES

Users shall not:

  • Use the Platform for marketing or advertising notary services in violation of applicable regulations
  • Engage in any activity that could bring the notary profession into disrepute
  • Submit false or misleading information in violation of the Consumer Protection Act, 2075 (2018)
  • Use the Platform for any unlawful purpose or in violation of any applicable laws of Nepal, including the Electronic Transaction Act, 2063 (2006)
  • Attempt to interfere with system integrity or security, or bypass any measures of the Platform
  • Engage in any conduct that restricts or inhibits any other user from using or enjoying the Platform
  • Reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Site or its Services without prior written consent
  • Misidentify yourself or impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
  • Submit fraudulent documents or attempt to obtain notary services through deception

WEBSITE USAGE TERMS

You represent and warrant that you are at least eighteen years of age and possess the legal right and ability to enter into agreements pertaining to these Terms of Use, to register on NotaryNP.com under your own name, and to use NotaryNP.com in accordance with these Terms of Use.

You are solely responsible for maintaining the confidentiality of your password and for all activities carried out under your NotaryNP.com account, in accordance with the Electronic Transaction Act, 2063 (2006). You agree to prohibit anyone else from using your password and to immediately notify NotaryNP.com of any unauthorized use of your password or other security concerns.

No party has the power or authority as agent, employee, or in any other capacity to represent, act for, bind, or otherwise create or assume any obligation on behalf of the other party for any purpose whatsoever.

USER'S PROFILE AT NOTARYNP.COM

Your NotaryNP.com Profile is created to store records of your service requests and personal information online. Any information provided as part of a web, over-phone, or in-person/video consultation becomes part of your NotaryNP.com Record. You agree to provide accurate information to help us serve you best and to periodically review and update such information as necessary.

NotaryNP.com reserves the right to maintain, delete, or destroy all communications and materials posted or uploaded to the NotaryNP.com Service according to its internal record retention and destruction policies, in compliance with the Electronic Transaction Act, 2063 (2006) and the Individual Privacy Act, 2075 (2018).

PRIVACY AND DATA PROTECTION

  • We collect and process personal data in accordance with the Individual Privacy Act, 2075 (2018) of Nepal
  • Our Privacy Policy, incorporated by reference into these Terms, details our data collection, use, and protection practices
  • Users consent to the collection, storage, and processing of their personal information as described in our Privacy Policy
  • All data processing will comply with the requirements of the Information Technology Bill of Nepal, once enacted
  • Special care is taken to protect sensitive documents and personal information in compliance with notary confidentiality requirements

INTELLECTUAL PROPERTY

  • All content on the Platform is protected by intellectual property rights governed by the Patent, Design and Trademark Act, 2022 (1965) and Copyright Act, 2059 (2002) of Nepal
  • Users retain ownership of content they submit but grant us a license to use, reproduce, and display such content for Platform operations (excluding confidential documents)
  • By submitting a Free Inquiry to NotaryNP.com, you understand and agree that your inquiry (with personal details removed) and any general response provided by a Notary Public may become part of the NotaryNP.com public knowledge base, in accordance with the Copyright Act, 2059 (2002)

PROTECTION OF PROPRIETARY INFORMATION

You agree that the Services, which include all software and information, both electronic and printed media, contain trade secrets and other proprietary intellectual property and are the proprietary property of NotaryNP.com. They are protected by the Copyright Act, 2059 (2002), the Patent, Design and Trademark Act, 2022 (1965), and other proprietary rights and laws of Nepal.

You agree that you will not store, copy, modify, rent, lease, loan, sell, distribute, transfer, transmit, display, reverse-engineer, reverse-assemble, or otherwise attempt to discover any programming code or source code used in or with the Services. You will not otherwise attempt to transfer any right in the Services, create derivative works, or commercially exploit the Services in whole or in part.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY THE CONTRACT ACT, 2056 (2000) AND CONSUMER PROTECTION ACT, 2075 (2018) OF NEPAL, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

  • We do not guarantee the accuracy, completeness, or reliability of any information provided by notary publics through the Platform
  • Our liability shall be limited as prescribed under the Contract Act, 2056 (2000) of Nepal
  • In no event shall NotaryNP.com be liable for any damages or costs arising out of or connected with your use of the services provided by Notary Publics
  • We are not responsible for the validity, authenticity, or legal consequences of documents notarized through connections made on our Platform

DISPUTE RESOLUTION

  • Any disputes arising from these Terms shall first be attempted to be resolved through amicable negotiations
  • If negotiations fail, disputes shall be resolved through mediation in accordance with the Mediation Act, 2068 (2011) of Nepal
  • If mediation fails, disputes shall be submitted to the exclusive jurisdiction of the courts in Kathmandu, Nepal, under the Administration of Justice Act, 2073 (2016) and Muluki Diwani Sanhita, 2074 (2017)

TERMINATION

  • We reserve the right to suspend or terminate your access to the Platform for violation of these Terms or applicable laws
  • Notary publics who violate professional standards may be reported to the appropriate authorities for disciplinary action under the Notary Public Act, 2063 (2006)

GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of Nepal, including but not limited to the Notary Public Act, 2063 (2006), Notary Public Regulations, 2064 (2007), Contract Act, 2056 (2000), Consumer Protection Act, 2075 (2018), Electronic Transaction Act, 2063 (2006), Individual Privacy Act, 2075 (2018), and other applicable laws and regulations of Nepal.

MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. Continued use of the Platform after such modifications constitutes acceptance of the updated Terms. Any revision or change will be binding and effective immediately on release of the revised Agreement or change to the Service(s) on our website.
